End User License Agreement

This End User License Agreement (the "Agreement") governs use of the treasurer's dashboard application available at marbleheadrotary.app (the "App"). The App is operated by the Marblehead Rotary Club (the "Club", "we", "us"). By accessing or using the App you agree to this Agreement. If you do not agree, do not use the App.

1. A private application

The App is a private, internal tool of the Club. It is made available only to Club officers, directors, and members whom the Club's Board or Treasurer has authorized ("Authorized Users"). If you are not an Authorized User, you may not access or use the App.

2. License

Subject to this Agreement, the Club grants each Authorized User a limited, revocable, non-exclusive, non-transferable license to access and use the App solely for the Club's own business. No other rights are granted.

3. Restrictions

You agree that you will not:

• share your sign-in credentials or otherwise allow anyone else to use your access;
• attempt to access data, features, or systems you are not authorized to use;
• copy, modify, distribute, sell, or reverse-engineer the App except as permitted by law;
• use the App for any purpose other than the Club's business; or
• use the App in any way that violates applicable law.

4. Financial information

The App displays summaries of the Club's financial records drawn from the Club's QuickBooks Online account. That information is confidential to the Club and is provided for internal management and reporting only. It does not constitute audited financial statements, tax advice, legal advice, or investment advice, and it may contain errors or be out of date.

5. Third-party services

The App relies on Intuit QuickBooks Online and on Cloudflare hosting services. Your use of QuickBooks Online is governed by Intuit's own terms. The Club is not responsible for the availability, performance, or accuracy of third-party services.

6. No warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE CLUB AND ITS OFFICERS, DIRECTORS, MEMBERS, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE APP.

8. Suspension and termination

The Club may suspend or terminate any person's access to the App at any time, with or without cause or notice. Sections 4, 6, 7, and 10 survive termination.

9. Changes

The Club may update this Agreement from time to time by posting a revised version at this address. Continued use of the App after a revision takes effect constitutes acceptance.

10. Governing law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules.
